Indira returned to visit Abi with some documents. On the one hand, he felt guilty for not preparing the defense materials for the next trial. But on the other hand, he felt excited because he could work on several cases on the sidelines of the Abi case trial. He was barely aware that he had a large portfolio of cases he had handled over the past month, or since his law office officially opened.
“Name of your friend Ridho Rahmat, right? The son of Rahmat Handayani. Stay in the area of Water Door.” Indira asked for confirmation from Abi.
“True. How did it really go?”
“As your friend said, PT. Laras Property buys its land for the construction of the mall with payments in the form of shares. There's nothing wrong with the deal. Rahmat Handayani's family was offered a stake of 10%, greater than the price of the land compared to the value of the project. Unfortunately, in the middle of the mall construction, there was spending outside of the very big plan. As a shareholder, Rahmat Handayani's family is required to participate in the additional fees. Unfortunately, they do not have the funds so that the company that bear it all. Well, here comes the root of the problem.”
“Are they exposed to illusions?” ask Abi. Indira laughed because she had just seen Abi being so innocent this time. He was like a brother teaching his sister.
“Not an illusion, but a dilution. Dilution is a situation when the percentage of investor's share ownership decreases due to additional capital made by the company through the issuance of new shares. So, due to the addition of fees that are considered as a considerable capital addition from the initial capital and Rahmat Handayani family did not participate in it, their share price eroded to the point of 0.1%.”
“Is that the capital addition? Is there no awkwardness?”
“It's only natural if there is a very large capital addition,” said Indira while showing a piece of paper. “In the beginning of the planning, which will be built only malls. But, before construction began, the company changed plans to a Mixed-Use Building consisting of malls, apartments and a 4.”-star hotel
“Wah, a very big change. Does Rahmat Handayani's family know about it?”
“No. Not at all. They know it along with their stock price drop notice.”
“As a shareholder, he should have been invited during the meeting to change the plan.”
“Well, it should be a good gap for us. Unfortunately, Rahmat Handayani, as the head of the family, was indeed invited to a meeting. According to Rahmat's confession, he was asked to sit in a room filled with serious-faced people who were discussing things that he did not understand. He only knew that the meeting was aimed at improving the quality of the mall to be built. They have a meeting attendance and approval of the results of the meeting signed by Mr. Rahmat and a recording of his whereabouts at the meeting.”
Abi scratched his head. He could not think at all. As he once admitted, he was not an expert in civil law, especially with regard to corporations.
“Can't sir Rahmat request payment in cash?”
“Unfortunately, can't. When signing the cooperation agreement at the beginning, Mr. Rahmat agreed that the ownership of the land was transferred to the company. So, if he wants his land back, he must buy land at twice the price plus the building that already stands on it with a value of about eight trillion.”
“Waduh, very complicated,” complained Abi. “Can't we look for a criminal breach? For example, the fraud they did about the meeting attended by Mr. Rahmat.”
“Cannot. Technically, Mr. Rahmat did really join the meeting,” replied Indira. “They like to take advantage of the innocence of the family pack Rahmat.”
“That's the importance of hiring a legal advisor, especially when doing business contracts like this,” Abi said. He could imagine how devastated the family felt because of the evil company owned by his father Roy.
“Yes already, you don't have to think about it. You've handed it to me, so let me work alone.”
“Why are you so insistent? Is there anyone who would give you a thank you?” ask Indira. He became suspicious of Abi's attitude.
“No. It's just -”
Abi silently sculpted. He couldn't possibly tell me the real reason. According to documents sent by Raditya Lesmana, PT. Laras Jaya Karya is the spearhead of a giant casino project designed by Mr. Jireh. Abi wants to make a mess for PT. Laras Jaya Karya just to see who will react. Perhaps one of them is Lord Jireh.
“Do we just burn the building,” Abi said as she stroked the chest. He finally realized that Indira gave him a horrible look. “I'm just kidding.”
“After what happened to you and Aunt Jenny, you can still joke about the fire?”
Seeing Indira seriously scolding her, Abi felt guilty for saying such empty things. He admitted that what he said just now was inappropriate.
“Wait, what is the name of the construction company and consultant used by that company?” asked Abi when he accidentally opened the report sheet adding development costs.
Indira who still did not understand Abi's intentions, checked the documents. Finally, he knew Abi's way of thinking when he knew the answer to his question.
“Of course, Laras Konstruksi and Laras Consultant, a subsidiary of PT. Laras Jaya Karya,” said Indira smiling. “It looks like we have to retrace the flow of funds for those two companies. Most likely, they submitted an unnatural budget for construction services and consultants so that there was a swelling of funds for development which was disguised due to changes in development plans.”
“This is definitely their way to trap potential investors. First, they submit proposals with a fairly small project value. After investors enter, they make changes to the development plan or just say there is a problem so it requires additional costs that are eventually calculated as capital,” added Abi.
“But, I'm sure if our lawsuit will be rejected by the court. They will definitely consider this as a phenomenon that is common in the business world.”
“Makanya, we have to prove that this was done massively and deliberately,” suggested Abi. “It looks like this is not their first crime. We need to check his other properties. It is likely that something similar happened. If we find another victim, we will help them to bring him to the legal path.”
Indira touched the back of Abi's hand then shook her head while closing her eyes. Abi was confused by that expression. “You'd love to kill me, huh?”
“Ti, no. Why?”
“You want me to handle another case again!?”
Indira shouted right in front of Abi's face, making the man come back terrified. The warden who accompanied Abi and had been sitting in the corner of the room until he stood up and put on a standby.
“Ja, so we have to how?” asked Abi nervously. Nervous of suddenly finding an opportunity to create a massive mess for the company, also nervous about Indira's clash.
“We used your way first,” whispered Indira, not wanting her voice to be heard by the warden who was still watching them.
